Terms of Service - Kulawise

Welcome to Kulawise.

These Terms of Service ("Terms") govern your access to and use of the Kulawise mobile app, website, and related services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility and User Accounts

To use Kulawise, you must be at least 18 years old. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for safeguarding your password and for any activities or actions under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2. Acceptable Use

You agree not to engage in any of the following prohibited activities:

Copying, distributing, or disclosing any part of the Service in any medium.
Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service.
Taking any action that imposes, or may impose at our sole discretion, an unreasonable or disproportionately large load on our infrastructure.
Uploading invalid data, viruses, worms, or other software agents through the Service.
Using the Service for any commercial solicitation purposes without our written consent.

3. Circles, Wallets, and Transaction Fees

Kulawise operates a community subscription feature called Circles. When a user subscribes to a Circle, a platform service fee of 6-8% is deducted from each transaction before the Circle creator receives their payout. This fee is disclosed at the point of purchase. Creators are responsible for setting their own subscription pricing within platform limits. Kulawise processes payments via Flutterwave; by using payment features, you also agree to Flutterwave's Terms of Service. Wallet balances are held on your behalf and may be withdrawn subject to verification requirements. In the event of account termination, wallet balances will be returned to you after any outstanding fees are settled, within 14 business days.

4. Subscriptions and Refunds

Certain features of Kulawise may require a subscription or payment. By choosing to use paid features, you agree to the pricing and payment terms as displayed in the app or website. Subscriptions may automatically renew unless canceled prior to the renewal date. We reserve the right to change our prices at any time. All payments are non-refundable except as required by law.

5. User Content

By posting content in Circles (including messages, photos, challenge submissions, and comments), you grant Kulawise a non-exclusive, royalty-free, worldwide licence to display and distribute that content within the platform for the purpose of operating the Service. You retain ownership of your content. You are solely responsible for content you post and agree not to post content that is defamatory, abusive, sexually explicit, or violates any third party's rights. Kulawise reserves the right to remove content that violates these Terms.

6. Medical Disclaimer

The content provided by Kulawise, including meal plans and wellness insights, is for informational purposes only and is not intended to be a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Kulawise and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Kulawise.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Kulawise, its affiliates, directors, employees, or its licensors be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, this Service.

9. Termination

We may suspend or terminate your account for breach of these Terms, fraudulent activity, or conduct harmful to other users or the platform. Where possible, we will notify you before termination and give you an opportunity to remedy the breach. Upon termination: (a) your access to the Service will cease; (b) active Circle subscriptions you manage will be cancelled and subscribers notified; (c) any wallet balance will be returned to you net of outstanding fees within 14 business days; (d) you may request a data export before termination takes effect.

10. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. In the event of any dispute arising out of or in connection with these Terms, you agree to first attempt to resolve the dispute informally by contacting us. If the dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts of Nigeria.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
